D5 Capital advises System Analytic on sale to WPP

London, 16th December 2015: D5 Capital, the specialist media & technology corporate finance adviser, has successfully managed the sale of System Analytic to Sudler & Hennessey, the global healthcare communications network of WPP Group PLC. D5 Capital developed the transaction strategy, identified the range of potential buyers and negotiated the sale. The financial terms of the deal were not disclosed.

System Analytic is a fast-growing, data services company working with drug developers and manufacturers to accelerate their penetration of global healthcare markets. System Analytic is headquartered in London, with operations in Hyderabad, India. The company’s key clients include Astra Zeneca, Boehringer Ingelheim, Novartis, Roche and Sanofi Aventis.
System Analytic offers a range of services and digital solutions to help pharmaceutical teams identify, map, profile, research, and develop engagement plans for Key Opinion Leaders throughout the medical world (“KOLs”: doctors, physicians, nurses, health administrators) in a highly systematic and analytical way. Results are delivered in sophisticated and easy-to-use databases with multiple layers of analytics. System Analytics’ databases are increasingly at the core of medical communication and medical education programmes. System Analytic has created its own database tools – Firefly, Superfly and Nanofly – to cater for different phases of the KOL engagement cycle. These analytical engines are highly intuitive and designed to translate new data sources into KOL intelligence e.g. social media inputs.

System Analytic was founded by CEO, Dr Sanjay Singhvi. Sanjay, a Fellow of the Royal Society of Medicine, has a degree in biochemistry from the University of London, a degree in Medicine from Guy’s & St Thomas’ Hospital, and an MBA from the Harvard Business School. Sanjay will retain a substantial minority holding in System Analytic going forward.

Commenting on the sale and earn-out process, Sanjay Singhvi (CEO and Founder) said:

“Having built System Analytic from a bedroom start up into a market leading company, we knew that we needed a partner to build a global business. Sudler & Hennessey has 63 offices in 34 countries, giving us unparalleled access to the world’s pharmaceutical and biotechnology players. As well as proven distribution, Sudler & Hennessey will provide us with access to cutting edge healthcare communications, medical education expertise and digital marketing skills. We believe that it is a perfect fit and we look forward to working with other healthcare communications specialists across the wider WPP Group, as the group’s ‘Key Opinion Leader research Hub’.”

Commenting on the sale, Rupert Ashe, CEO of D5 Capital said:

“System Analytic is a brilliant fusion of medical knowhow and software skills. They have a genuine chance to become the market standard for nimble, effective, beautifully engineered software in support of medical education programmes globally. Sudler is the perfect partner – global in reach, approachable people, with the scale of WPP behind them. It will be a very exciting few years for Sanjay as he works with such a powerful network.”
